The Memorandum and Articles of Association of Redbridge Sports Centre Trust Limited remain in essence those which were drafted by the founding fathers and came into being on 22nd January 1971. As we are both a company limited by guarantee (not having a share capital) and also a registered charity, we must comply with both company law and various charities acts.
There is a need to update the articles to ensure that we are both compliant with current law and in accord with best practice. Previous piecemeal legislation has been consolidated into a comprehensive Companies Act (2006) and, similarly, a consolidation of earlier Charities` legislation into the Charities Act 2011. In amending these Articles, we have had recourse not only to current legislation (including a model agreement) but also to the Government`s and Charity Commission`s Guide to Best Practice. The revised document follows its predecessor closely – or, at least, to the extent possible while taking account of necessary and current thinking.
It is proposed at our AGM on 15th May 2017 that the Revised Articles of Association be adopted. Both current and proposed Articles are available for download here
